TheySay LLC — Terms of Service

Welcome to TheySay. These Terms of Service (“Terms”) govern your access to and use of the TheySay mobile application (“App”) and related services (collectively, the “Service”), operated by TheySay LLC, a Colorado limited liability company (“TheySay,” “we,” “us,” or “our”).

By creating an account or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you are 18 or older. At signup, the App asks for your date of birth solely to verify your age on your device; your date of birth is not stored or transmitted to us.

We do not knowingly permit anyone under 18 to use the Service. If we learn that a user is under 18, we will delete the account and associated account data.

2. Accounts, Sign-In, and Device Policy

Account creation. To use the Service you create an account by choosing a username and a 4-digit PIN. No email address, phone number, or third-party login is required or collected.

Your PIN. You are responsible for keeping your PIN confidential and for activity under your account. Your PIN is stored only as a cryptographic hash and cannot be retrieved or reset by TheySay.

Lockout. To protect against PIN guessing, if there are too many consecutive failed sign-in attempts, your account is temporarily locked for a cooldown period, after which you may try again. There is no PIN-recovery process. If you permanently forget your PIN, you will need to create a new account.

One account per device. Each person is permitted one account, and a given device may have one active account at a time. The App enforces this using a privacy-preserving device check (a one-way hash of a random, app-generated device identifier — not hardware or advertising identifiers; see the Privacy Policy, Section 4). Creating multiple accounts to manipulate votes or evade enforcement is prohibited.

Device release on deletion. If you delete your account, your device is released so that a new account can be created on it.

Username requirements. Usernames must be 3–16 characters and may contain letters, numbers, and underscores. Usernames are case-insensitive for uniqueness. Usernames that contain profanity, impersonate another person or entity, or otherwise violate these Terms are prohibited.

3. The Human-Results Promise

TheySay’s defining principle is that every vote is cast by a real human being. TheySay does not use artificial intelligence, bots, or automated systems to cast votes or to influence results.

TheySay may use AI tools, used internally and offline, to help draft seed questions, which are reviewed by TheySay before they appear and are posted from a clearly identified TheySay house account. AI is never used to vote, and no user-submitted content is sent to any third-party AI service as part of the Service.

4. Anonymous Voting and Flagging

Votes and content flags on the Service are anonymous and are not linked to your account, by design. The technical basis for this is described in the Privacy Policy, Section 4. In short: the system can prevent you from voting twice on a question, and can show aggregate results, without ever recording who you are alongside how you voted. TheySay itself cannot determine how any individual voted or who flagged a particular question.

5. User Content and License

Your content. The Service lets you create questions (debates) with answer options, and vote on questions created by others. You retain ownership of the questions you create.

License to TheySay. By posting content on the Service, you grant TheySay a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for formatting and display), publish, perform, and display that content in connection with operating, promoting, and improving the Service.

Aggregated and anonymized data. You acknowledge and agree that TheySay may compile aggregated and anonymized data derived from activity on the Service — including voting patterns and results — and may use, share, license, or sellthat aggregated and anonymized data for research, commercial, or other purposes. Aggregated and anonymized data does not identify any individual user. This mirrors the disclosure in the Privacy Policy, Section 6.

Results disclaimer. Results reflect only the opinions of users who chose to participate. They are presented for informational and entertainment purposes, are not scientific or representative of any population, and should not be relied upon for any decision. TheySay makes no representation as to the accuracy or representativeness of any result.

6. Acceptable Use

You agree not to use the Service to:

  • Post hate speech, threats, harassment, bullying, or intimidation;
  • Post content that targets, identifies, demeans, or seeks to harm a specific individual;
  • Post sexually explicit content, content promoting or depicting violence, or content that encourages illegal activity;
  • Impersonate any person or entity;
  • Manipulate votes or results, including by attempting to create multiple accounts or to evade the one-account-per-device policy;
  • Use bots, scripts, or other automated means to interact with the Service;
  • Attempt to access, read, or write data you are not authorized to, or otherwise probe, breach, or circumvent the Service’s security; or
  • Violate any applicable law or regulation.

TheySay determines, in its reasonable discretion, what constitutes a violation of these Terms.

. Content Moderation

Community flagging. Users may anonymously flag questions they believe violate these Terms. Flagged content may be hidden from public view pending review.

Review and action. TheySay reviews flagged content and may, at its discretion, remove content and restrict or suspend accounts that violate these Terms.

Reservation of rights. TheySay may, but is not obligated to, review, remove, or restrict any content or account at any time, with or without notice, where it believes doing so is appropriate to enforce these Terms or protect users or the Service.

Response commitment. TheySay aims to review flagged content and act on objectionable content and offending accounts within 24 hours.

8. Account Deletion

You can delete your account at any time from the App’s settings. When you do:

  • Your private account record and your public profile are permanently deleted.
  • The questions you posted remain on the Service but are anonymized — the author is replaced with “[deleted]” and your username is removed. The questions and the anonymous votes others cast on them are preserved so that other people’s participation is not erased.
  • Because votes are anonymous and were never linked to you, there is nothing in any vote to remove.
  • Your device is released so a new account can be created on it.

Deletion is immediate and irreversible.

Feedback messages you previously sent through the in-App feedback feature are retained for our records even after deletion. (See Privacy Policy, Section 9.)

TheySay-initiated removal. TheySay may suspend or remove an account for violations of these Terms.

9. Friend Groups

Reserved.

10. Notifications and Notice

Notifications and notices related to the Service may be delivered within the App, and material legal notices (such as changes to these Terms or the Privacy Policy) will also be posted at theysayapp.org. You are responsible for reviewing notices made available through these channels.

11. Third-Party Services

The Service runs on Google Firebase (Google Cloud Platform) for data storage, authentication, and server functions. Your use of the Service depends on this infrastructure, which is governed by Google’s terms. TheySay is not responsible for the availability or performance of third-party infrastructure.

12. Intellectual Property

TheySay,” the TheySay logo, and related names and branding are trademarks and brand identifiers of TheySay LLC, in which TheySay LLC claims rights (including a pending federal trademark application). You may not use any TheySay branding without our prior written consent. The Service — including its design, features, text, and software — is owned by TheySay LLC and protected by copyright and other applicable laws

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THEYSAY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT OR RESULT IS ACCURATE OR RELIABLE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEYSAY LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. THEYSAY’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO THEYSAY IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100).

TheySay is not responsible for content posted by users, disputes between users, decisions made based on results, or harm arising from user interactions on or off the Service.

15. Indemnification

You agree to indemnify and hold harmless TheySay LLC and its officers, members, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your content, or your violation of these Terms.

16. Dispute Resolution; Arbitration; Class-Action Waiver

Binding arbitration. Except as provided below, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will take place in the State of Colorado, or as otherwise required by applicable law.

Class-action waiver. YOU AND THEYSAY AGREE THAT DISPUTES WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Exceptions. Either party may bring a qualifying claim in small-claims court, and either party may seek injunctive or equitable relief in court for intellectual-property or unauthorized-access claims.

17. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-law principles, except where preempted by federal law (including the Federal Arbitration Act).

18. Changes to These Terms

We may modify these Terms from time to time. We will post changes in the App and at theysayapp.org/terms and update the “Last Updated” date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

19. Severability; Entire Agreement

If any provision of these Terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in effect. These Terms, together with the Privacy Policy, are the entire agreement between you and TheySay regarding the Service and supersede prior agreements on that subject.
